Client Obligations

2.2 Timely Cooperation: The client agrees to provide prompt and timely feedback, information, and approvals during the project’s development. Any delays caused by the client may affect the project timeline.
2.3 Accuracy of Information: The client must ensure that all information provided to the agency is accurate and complete. The agency is not liable for any consequences resulting from inaccurate or misleading information.
Intellectual Property
3.1 Website Ownership: Upon full payment and completion of the project, the client will own the website, excluding any third-party materials, templates, or software used under licensing agreements.
3.2 Agency’s Portfolio: The agency retains the right to showcase the completed website in its portfolio and marketing materials, including online and offline platforms.
3.3 Third-party Materials: The client must respect the intellectual property rights of third-party resources used in the project, such as stock images, fonts, and plugins. The agency will inform the client of any necessary licenses.
Payment Terms
4.1 Quotation: The agency will provide the client with a detailed quotation outlining the scope of work and associated costs.
4.2 Payment Schedule: The client agrees to adhere to the agreed-upon payment schedule. A deposit may be required before the project commences, with the remaining balance due upon completion or as specified in the quotation.
4.3 Late Payments: In the event of late payment, the agency reserves the right to suspend work or charge late fees as specified in the quotation or as per local regulations.
Revisions and Changes
5.1 Project Scope: The project scope will be outlined in the quotation. Any revisions or changes to the scope of work may incur additional charges.
5.2 Major Revisions: Major design or functionality changes requested after project commencement may be subject to additional fees and timeline adjustments.
Confidentiality
6.1 Non-disclosure: Both parties agree to keep confidential information shared during the project’s duration and after its completion.
6.2 Exceptions: Confidentiality does not apply to information that is publicly available or required by law to be disclosed.
Timeline and Delays
7.1 Project Timeline: The agency will provide an estimated timeline for project completion. However, timelines are subject to change based on factors like client feedback, content delays, and unforeseen circumstances.
7.2 Delayed Completion: The agency is not liable for any damages or losses resulting from project delays caused by circumstances beyond its control.
Termination
8.1 Termination by Client: The client may terminate the project by providing written notice to the agency. Termination fees, if applicable, will be outlined in the quotation.
8.2 Termination by Agency: The agency may terminate the project if the client breaches these terms or fails to make timely payments.
Limitation of Liability
9.1 Quality of Services: The agency will endeavor to provide high-quality services, but it does not guarantee the website’s success or performance.
9.2 Indirect Damages: The agency is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website.
Amendments to Terms and Conditions
10.1 Updates: The agency reserves the right to update these terms and conditions. Clients will be notified of any changes, and continued use of our services implies acceptance of the updated terms.
Governing Law and Jurisdiction
11.1 These terms and conditions shall be governed by and construed in accordance with the laws of the USA and CANADA. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New Jersey.
